These Terms of Use (“Terms”) constitute a legally binding agreement between you and TruLegacy regarding your use of the Service.
PLEASE READ THESE TERMS CAREFULLY. BY SUBMITTING INFORMATION THROUGH THE SERVICE, CREATING AN ACCOUNT IF ACCOUNT FUNCTIONALITY IS AVAILABLE, OR OTHERWISE ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY.

THESE TERMS CONTAIN A BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER. EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN SECTION 21, YOU AND TRULEGACY AGREE THAT DISPUTES BETWEEN YOU AND TRULEGACY WILL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT BEFORE A JUDGE OR JURY. PLEASE REVIEW SECTION 21 CAREFULLY.

1. Service Overview
TruLegacy provides insurance agency and related services through which consumers may research, obtain information about, request quotes for, apply for, or purchase insurance and related products offered by third-party insurance carriers.
TruLegacy is an insurance agency and is not an insurance company. Insurance products are issued and administered by third-party insurance carriers and are subject to the terms, conditions, underwriting requirements, exclusions, and limitations established by those carriers.
DO NOT CANCEL OR TERMINATE EXISTING INSURANCE COVERAGE UNTIL YOU HAVE RECEIVED CONFIRMATION FROM THE APPLICABLE INSURANCE CARRIER THAT ANY REPLACEMENT OR NEW COVERAGE HAS BEEN ISSUED AND IS IN EFFECT.
2. Eligibility
You must be at least 18 years of age to use the Service.
By agreeing to these Terms, you represent and warrant that:
- (a) you are at least 18 years of age;
- (b) you have not previously been suspended or removed from the Service; and
- (c) your registration for and use of the Service complies with applicable laws and regulations.
If you use the Service on behalf of an entity, organization, or company, you represent and warrant that you have authority to bind that organization to these Terms.
3. Accounts and Registration
Certain portions of the Service may permit or require you to create an account.
When creating an account, you may be required to provide information such as your name, email address, telephone number, or other contact information. You agree that information you provide will be accurate and that you will keep it reasonably current.

When you voluntarily provide TruLegacy with an email address, telephone number, or other contact information, we may communicate with you regarding your request, insurance inquiry, quote, application, policy, customer service matter, or other relationship with TruLegacy, as permitted by applicable law.
Where required by law, TruLegacy will obtain any consent necessary before sending marketing communications using regulated automated telephone dialing technologies, prerecorded or artificial voice messages, or automated text messaging technologies.
Consent to receive marketing calls or text messages is not a condition of purchasing any property, goods, or services from TruLegacy.

TruLegacy and its authorized service providers may monitor or record telephone conversations for quality assurance, training, compliance, documentation, fraud prevention, customer service, and other legitimate business purposes, subject to applicable law.
4.2 Opting Out and Revoking Consent
You may revoke consent to receive marketing communications or request that marketing communications stop.
For text messages, you may reply STOP or use another reasonable method that clearly communicates your desire not to receive further messages.

5. Payment
If you provide payment information in connection with purchasing or applying for an insurance or other product, payments may be made directly to the applicable insurance carrier or other company providing the product.
TruLegacy's role in a particular transaction does not make TruLegacy the issuer of an insurance policy unless expressly stated otherwise.
6. User Content
6.1 User Content and License
Certain features of the Service may permit users to submit, upload, transmit, or otherwise provide content (“User Content”).
You retain any intellectual property rights you hold in your User Content.
By providing User Content through the Service, you grant TruLegacy a worldwide, non-exclusive, royalty-free, fully paid license, with the right to sublicense as reasonably necessary, to host, store, reproduce, process, format, transmit, and display your User Content as reasonably necessary to provide, operate, maintain, secure, and improve the Service.
6.2 User Content Representations
You are responsible for User Content you provide.
By providing User Content, you represent and warrant that you have the rights, licenses, consents, and permissions necessary to provide that content and permit TruLegacy to use it as contemplated by these Terms.
You further agree that your User Content will not violate applicable law or infringe, misappropriate, or violate the intellectual property, privacy, publicity, contractual, or other rights of another person or entity.
6.3 User Content Disclaimer
TruLegacy is not obligated to monitor all User Content.
We reserve the right, where permitted by law, to remove, restrict, or refuse User Content that violates these Terms, applicable law, or the rights of another person.
7. Digital Millennium Copyright Act

A notice alleging copyright infringement should include, as applicable:

TruLegacy reserves the right to terminate accounts of users determined to be repeat infringers where appropriate.
8. Prohibited Conduct
By using the Service, you agree not to:
- Use the Service for an illegal purpose or in violation of applicable law;
- Violate or encourage others to violate third-party rights, including intellectual property rights;
- Submit or distribute unlawful, defamatory, infringing, threatening, fraudulent, malicious, or otherwise prohibited content;
- Circumvent or interfere with security-related features of the Service;
- Reverse engineer portions of the Service except where expressly permitted by applicable law;
- Introduce viruses, malware, spyware, worms, or other malicious code;
- Interfere with networks, equipment, servers, or systems associated with the Service;
- Attempt to collect personal information about another person without authorization;
- Engage in fraudulent activity, impersonation, false affiliation, unauthorized account access, or falsification of information;
- Sell or transfer unauthorized access to the Service;

Third-party services are not under TruLegacy's control. TruLegacy is not responsible for the content, availability, privacy practices, security, products, services, representations, or conduct of third-party services.
Your interactions with third parties are governed by the applicable third party's terms and policies.
10. Termination of Use; Discontinuation and Modification of Service

If you violate these Terms, your permission to use the Service may terminate.
To the extent permitted by law, TruLegacy reserves the right to suspend or terminate access to the Service, modify the Service, or discontinue all or part of the Service.

11.2 Additional Terms
Certain products, services, features, promotions, or portions of the Service may be subject to additional terms, policies, rules, disclosures, or agreements (“Additional Terms”).
Applicable Additional Terms are incorporated into these Terms by reference.
12. Modification of These Terms
We reserve the right to modify these Terms on a going-forward basis.
When required by applicable law, we will provide notice of material changes or request acceptance of revised Terms.
Your continued use of the Service following the effective date of revised Terms constitutes acceptance of the revised Terms to the extent permitted by applicable law.

13. Ownership; Proprietary Rights
The Service is owned and operated by TruLegacy.
The visual interfaces, graphics, designs, compilations, information, data, computer code, software, text, products, services, and other elements of the Service (“Materials”) provided by TruLegacy are protected by intellectual property and other applicable laws.
Except as expressly authorized, Materials are owned by TruLegacy or its licensors.
TruLegacy reserves all rights not expressly granted under these Terms.
14. Feedback
If you voluntarily provide suggestions, ideas, comments, or other feedback concerning the Service (“Feedback”), you grant TruLegacy a worldwide, unrestricted, perpetual, irrevocable, non-exclusive, fully paid, royalty-free right to use and exploit that Feedback for lawful business purposes, including improving existing services and developing new products or services.
15. Indemnification
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless TruLegacy Life Insurance Agency, LLC, and its officers, directors, members, managers, employees, contractors, consultants, affiliates, subsidiaries, agents, representatives, business partners, successors, and assigns (collectively, the “TruLegacy Entities”) from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees and costs, arising out of or relating to:
- (a) your access to or use of the Service;
- (b) your violation of these Terms or applicable law;
- (c) your violation of a third party's intellectual property, privacy, publicity, contractual, or other rights; or
- (d) a dispute or issue between you and a third party arising from your conduct through the Service.
TruLegacy reserves the right, at its expense, to assume the exclusive defense and control of a matter otherwise subject to indemnification, in which case you agree to reasonably cooperate with the defense.
16. Disclaimers; No Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND MATERIALS AND CONTENT AVAILABLE THROUGH THE SERVICE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE TRULEGACY ENTITIES DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE.
THE TRULEGACY ENTITIES DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT DEFECTS WILL NECESSARILY BE CORRECTED.
No advice or information obtained through the Service creates a warranty that is not expressly stated in these Terms.
To the fullest extent permitted by law, you assume the risks associated with your use of the Service.
Some jurisdictions may not permit certain warranty exclusions, in which case some of these exclusions may not apply to you.
17. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TRULEGACY ENTITIES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATING TO YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SERVICE OR MATERIALS, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STATUTE, OR ANOTHER LEGAL THEORY.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EXCEPT AS OTHERWISE EXPRESSLY PROVIDED IN SECTION 21 OR REQUIRED BY LAW, THE AGGREGATE LIABILITY OF THE TRULEGACY ENTITIES TO YOU FOR CLAIMS ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED $100.
Each provision limiting liability, disclaiming warranties, or excluding damages is intended to allocate risk between the parties and is an essential part of the agreement.
Some jurisdictions do not permit certain exclusions or limitations of liability, so certain limitations may not apply to you.
18. No Medical Advice
Materials available through the Service are provided for informational purposes and are not intended to substitute for professional medical advice, diagnosis, or treatment.
Always seek the advice of a physician or other qualified healthcare provider regarding a medical condition.
Never disregard professional medical advice or delay seeking it because of information obtained through the Service.
If you believe you are experiencing a medical emergency, call 911 or seek appropriate emergency medical assistance.
TruLegacy does not provide medical advice and does not endorse medical tests, physicians, procedures, treatments, or medical opinions merely because they may be referenced through the Service.
Insurance-related information available through the Service is subject to applicable policy terms, carrier requirements, eligibility requirements, exclusions, limitations, and underwriting.
19. Governing Law and Venue
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except to the extent federal law controls.
The arbitration provisions contained in Section 21 are also subject to the Federal Arbitration Act to the extent applicable.
For disputes that are not required to be resolved through arbitration under Section 21 and that may properly be brought in court, you and TruLegacy agree, to the extent permitted by applicable law, to submit to the personal and exclusive jurisdiction of the appropriate state or federal courts located in or having jurisdiction over Broward County, Florida.
The Service is operated by TruLegacy from Florida. We make no representation that the Service is appropriate or available in every jurisdiction.
20. General
These Terms, together with the Privacy Policy and other agreements expressly incorporated by reference, constitute the agreement between you and TruLegacy concerning your use of the Service.
You may not assign or transfer these Terms or your rights under them without our prior written consent, except where applicable law provides otherwise.
TruLegacy may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or other lawful transaction.
Failure to enforce a provision does not waive our right to enforce it later.
Section headings are provided for convenience and do not control interpretation.
If any provision is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law, and the remaining provisions will remain in effect.
Provisions that by their nature should survive termination, including provisions concerning ownership, intellectual property, indemnification, disclaimers, limitations of liability, dispute resolution, and applicable law, will survive termination.
21. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
21.1 Agreement to Arbitrate
Except for disputes described in Section 21.2 or where prohibited by applicable law, you and TruLegacy agree that disputes, claims, or controversies arising out of or relating to these Terms, the Service, or your relationship with TruLegacy will be resolved through binding individual arbitration rather than through a lawsuit in court.
Arbitration uses a neutral arbitrator rather than a judge or jury and may involve more limited discovery and judicial review than court proceedings.
BY AGREEING TO ARBITRATION, YOU AND TRULEGACY ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY FOR CLAIMS SUBJECT TO THIS ARBITRATION AGREEMENT.
21.2 Exceptions
Nothing in this Section prevents either party, where legally permitted, from:
- (a) bringing an individual action in small claims court;
- (b) pursuing an available enforcement action through a federal, state, or local governmental agency;
- (c) seeking appropriate temporary or preliminary injunctive relief from a court where necessary to preserve rights pending arbitration; or
- (d) bringing an action concerning infringement or misappropriation of intellectual property rights where such a court action is legally permitted.
21.3 Arbitration Rules
Arbitration will be governed by the Federal Arbitration Act and administered by the American Arbitration Association (“AAA”) under the AAA rules applicable to the dispute, as modified by these Terms.
The arbitrator will have authority to resolve issues concerning interpretation, applicability, or enforceability of this arbitration agreement, subject to applicable law.
21.4 Notice and Informal Resolution
Before commencing arbitration, the party seeking arbitration must provide written notice describing:
- (a) the nature and basis of the claim or dispute; and
- (b) the specific relief sought.

The parties agree to make good-faith efforts to resolve the dispute directly for at least 30 days after receipt of the notice before commencing arbitration.
21.5 Location and Fees
Unless the parties agree otherwise or applicable law or AAA rules require a different location, any in-person arbitration hearing will occur in Broward County, Florida.
Arbitration filing fees, administrative fees, arbitrator compensation, and other costs will be allocated in accordance with applicable AAA rules and law.
Nothing in these Terms requires a consumer to pay fees that applicable law requires TruLegacy to pay.
The arbitrator will issue an award in accordance with applicable arbitration rules and law.
21.6 No Class Actions
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND TRULEGACY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN A PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
Unless both parties agree otherwise or applicable law requires otherwise, the arbitrator may not consolidate the claims of more than one person or preside over a class or representative proceeding.
21.7 Changes to Arbitration Provision
If TruLegacy makes a material future change to this arbitration provision other than a change to its contact information or address, you may reject that change by providing written notice within 30 days after the change becomes effective.
Where a valid rejection is made, the version of the arbitration provision in effect immediately before the rejected modification will continue to govern, subject to applicable law.
21.8 Enforceability
If a portion of this Section 21 is found unenforceable, the remaining portions will remain enforceable to the fullest extent permitted by applicable law unless the invalid provision cannot be severed under controlling law.
If the entire arbitration agreement is determined to be unenforceable with respect to a particular dispute, Section 19 will govern jurisdiction and venue for that dispute to the extent permitted by law.
21.9 Right to Opt Out of Arbitration
ARBITRATION IS NOT A MANDATORY CONDITION OF USING THE SERVICE IF YOU TIMELY EXERCISE THE OPT-OUT RIGHT DESCRIBED BELOW.
You may opt out of this arbitration agreement by notifying TruLegacy in writing within 30 days of the date you first accept these Terms.
Your notice must clearly state your name and your intention to opt out of the Dispute Resolution and Arbitration provision.

A mailed notice should be dated and signed and submitted for delivery within the 30-day period.
You will not be subject to retaliation by TruLegacy for exercising your right to opt out of arbitration.
If you do not timely opt out, you and TruLegacy will be bound by this arbitration provision to the extent permitted by applicable law.
22. Consent to Electronic Communications
By using the Service and subject to Section 4, you consent to receiving electronic communications from TruLegacy as permitted by applicable law.
Electronic communications may include notices, disclosures, agreements, transactional communications, and other information relating to the Service.
To the extent permitted by applicable law, you agree that electronic communications satisfy legal requirements that communications be provided in writing.
Marketing communications remain subject to applicable consent and opt-out requirements.
